Terms of Service

These Terms of Service ("Terms") govern your access to and use of OnBoard (the "Service"), provided by OnBoard ("OnBoard," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

OnBoard is a software tool that helps businesses track professional license and certification renewal deadlines for themselves and their staff, and may send automated reminders based on information you provide.

OnBoard is a tracking and reminder tool only. We do not guarantee the accuracy, completeness, or timeliness of any reminder, and we are not a substitute for your own compliance obligations. You remain solely responsible for verifying license status, renewal deadlines, continuing education requirements, and all compliance obligations with the applicable licensing board or regulatory authority. See Section 6 (Disclaimers) for important limitations.

2. Accounts

  • You must provide accurate, current information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • You must be at least 18 years old and authorized to bind your business to these Terms.
  • Notify us immediately at sarah@tryrenewly.com if you suspect unauthorized use of your account.

3. Subscriptions and Billing

  • Paid plans are billed on a subscription basis (monthly or annual) as described at the time of purchase.
  • Free trials, where offered, convert to a paid subscription unless canceled before the trial ends, per the terms shown at signup.
  • Fees are non-refundable except as required by law or as we expressly state otherwise.
  • We may change our pricing with advance notice; continued use after a price change constitutes acceptance.
  • Failure to pay may result in suspension or downgrade of your account, as described in your plan's terms.
  • Billing is processed by Stripe. By subscribing, you also agree to Stripe's terms as they apply to processing your payment.

4. Your Data and Content

  • You retain ownership of any data you upload or input into the Service (e.g., staff names, license numbers, renewal dates) ("Customer Data").
  • You grant us a limited license to use, store, and process Customer Data solely to provide and improve the Service.
  • You represent that you have the right to submit any personal information about employees or third parties that you input into the Service, and that you have provided any notices or obtained any consents required by applicable law to do so.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulation.
  • Attempt to gain unauthorized access to the Service or other users' data.
  • Reverse-engineer, resell, or use the Service to build a competing product.
  • Upload data you do not have the right to submit.

We may suspend or terminate accounts that violate these terms.

6. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that reminders will be delivered, received, or acted upon in time. Email and SMS delivery can fail for reasons outside our control (spam filters, incorrect contact information, service outages, etc.). You are responsible for independently confirming renewal deadlines and compliance status with the relevant licensing authority. OnBoard is not liable for any lapsed license, fine, business interruption, or other consequence resulting from a missed, delayed, or undelivered reminder.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONBOARD AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

8. Termination

You may cancel your subscription at any time through your account settings or by contacting us. We may suspend or terminate your access if you violate these Terms or fail to pay applicable fees. Upon termination, your right to use the Service ends, though certain provisions (billing, disclaimers, liability, governing law) survive termination.

9. Changes to the Service or Terms

We may modify the Service or these Terms at any time. We'll provide notice of material changes (e.g., via email or in-app notice). Continued use after changes take effect constitutes acceptance.

10. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Illinois.
